There is always a potential for a customer to default on a payment or become insolvent. For this reason, the New Zealand government enacted the <em>Personal Property Securities Act<\/em> (the PPSA), which set up the Personal Property Securities Register (the PPSR). This article will outline:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>what the Personal Property Securities Register is;<\/li>\n\n\n\n<li>how the PPSR can aid your business; and<\/li>\n\n\n\n<li>how your business can register its interests on the PPSR.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">What is the Personal Property Securities Register?<\/h2>\n\n\n\n<p>The Personal Property Securities Register is a national register where individuals and businesses can register a legal claim or security interest to personal property. <\/p>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <p>Personal property includes:<\/p>\n<!-- wp:list -->\n<ul><!-- wp:list-item --><\/p>\n<li>goods, such as equipment, vehicles and crops;<\/li>\n<!-- \/wp:list-item --> <!-- wp:list-item -->\n<li>intangible property, such as company shares, art licenses, intellectual property and money; and<\/li>\n<!-- \/wp:list-item --> <!-- wp:list-item -->\n<li>items you will purchase in the future.<\/li>\n<p><!-- \/wp:list-item --><\/ul>\n<p><!-- \/wp:list --><\/p>\n<\/div>\n\n\n\n<p>Land is excluded from the definition of personal property.&nbsp;&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How Can the PPSR Help My Business?<\/h2>\n\n\n\n<p>Registering personal property on the PPSR can assist your business in three key ways. We set these out below.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">To Assist in Recovering What You Are Owed<\/h3>\n\n\n\n<p>When you rent, lease or sell goods to your customers, your business will likely enter into a hire purchase or <a href=\"https:\/\/legalvision.co.nz\/property-and-leasing\/essential-terms-lease-agreement-new-zealand\/\">lease agreement<\/a> with that client. This agreement should clearly:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>identify the goods up for lease or sale;<\/li>\n\n\n\n<li>contain a retention of title clause; and&nbsp;<\/li>\n\n\n\n<li>state that a security interest is taken in the customer\u2019s present and after-acquired property.&nbsp;<\/li>\n<\/ul>\n\n\n\n<div  class=\"box box--icon box--info\">\n    <p>A retention of title clause details that your business retains legal ownership of those goods until the customer pays for the goods in full.<\/p>\n<\/div>\n\n\n\n<p>Additionally, if the customer does not pay your business, you can take possession of those goods. Registering a financing statement on the PPSR is also an <a href=\"https:\/\/legalvision.co.nz\/commercial-contracts\/how-to-protect-your-goods-pending-payment\/\">additional layer of security<\/a>. It prioritises your entitlement to those goods against any other security holders regarding the same goods.&nbsp;<\/p>\n\n\n\n<p>Further, registering your business\u2019 interest in that personal property on the PPSR gives your business a far better chance of recovering those goods or something else of the same value. That is because registration acts as a disincentive for your customers to hold onto or resell hired goods they have not completely paid for.&nbsp;<\/p>\n\n\n\n<p>Likewise, registration means your customers will have a searchable security interest registered against them. This will deter other businesses from dealing with them.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">To Credit-Check Potential Customers<\/h3>\n\n\n\n<p>The PPSR also allows your business to check the credit of any potential customers. You can use the PPSR to check if a potential customer has any security interests registered against them. In other words, you can see if a potential customer is in debt for unpaid goods they have hired or intended to purchase. Doing so helps determine whether a customer will hold up their end of the hire purchase or lease agreement and complete the payment for your goods.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">To Check the Assets Under a Business Purchase<\/h3>\n\n\n\n<p>When <a href=\"https:\/\/legalvision.co.nz\/business-sale-and-purchase\/buying-company-vs-business\/\">purchasing a business<\/a>, you want to ensure the vendor holds the business assets free from any security interests. Searching the vendor on the PPSR will allow you to see if any business assets are subject to any security interests.&nbsp;<\/p>\n\n\n\n<p>For example, a vehicle sold under a business sale may be subject to the vendor\u2019s loan agreement with the bank. In these cases, the usual practice is for the vendor to discharge any security interests on settlement and give the purchaser unencumbered title to the assets. However, it is imperative for a purchaser to check the PPSR before they pay the vendor in a business purchase.&nbsp;&nbsp;&nbsp;<\/p>\n\n\n    <div class=\"my-7 lg:my-10 border-y-2 border-gray-100
