How Does the Cooling-Off Period Affect Me?"},"content":{"rendered":"<p><span style=\"font-weight: 400\">Franchising is one of the most popular ways of expanding your business in New Zealand. This is because you do not need to pool your own debt or equity, as your franchisee takes on the brunt of the costs. All you need to have is a functioning business model that you are willing to licence. The franchise agreement is a legal document that will state the relationship between the franchisor and the franchisee. When a franchisee buys a franchise, they will sign the franchise agreement with the franchisor. This agreement may contain a cooling-off period. This article will outline:\u00a0<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">what a cooling-off period is; and\u00a0<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">how it might affect you.<\/span><\/li>\n<\/ul>\n<h2><span style=\"font-weight: 400\">What Is the Cooling-Off Period?<\/span><\/h2>\n<p><span style=\"font-weight: 400\">A cooling-off period is a length of time that is stipulated in a franchise agreement in which the franchisee can decide to withdraw from the agreement <\/span><a href=\"https:\/\/legalvision.co.nz\/franchising\/changing-your-mind-after-signing-franchise-agreement\/\"><span style=\"font-weight: 400\">after signing it<\/span><\/a><span style=\"font-weight: 400\">. It means that a franchisee can get their money back if they decide that they do not want to be a part of the franchise. Even though it allows franchisees to withdraw from an agreement, it should not be used as a safety net. This is because disputes are commonplace where cooling-off periods are concerned. The terms of the period and when it applies depends on how the agreement is formed.<\/span><\/p>\n<h2><span style=\"font-weight: 400\">When Does it Apply?<\/span><\/h2>\n<p><span style=\"font-weight: 400\">There is no franchise-specific legislation in New Zealand. As such, there is no stipulation that a cooling-off period has to be included. However, most agreements will have one. Further, if you are a member of the Franchise Association of New Zealand (<strong>FANZ<\/strong>) then you must include a cooling-off period. It is required by the <\/span><a href=\"https:\/\/legalvision.co.nz\/franchising\/what-are-the-franchising-code-of-practice-requirements\/\"><span style=\"font-weight: 400\">FANZ Code of Practice<\/span><\/a><span style=\"font-weight: 400\"> to be included in all franchise agreements. The code of practice states that the cooling-off period must be for a minimum of seven days from when the franchisee enters into the agreement.\u00a0<\/span><\/p>\n<div class=\"box box--info box--icon\">\n<p><span style=\"font-weight: 400\">If a franchisee activates the cooling-off period, then they are immediately unbound from all the provisions of the franchise agreement other than those relating to the provision of intellectual property. This is to make sure that any branding of the franchise cannot be \u2018taken\u2019 by the franchisee after withdrawing from the agreement.\u00a0<\/span><\/p>\n<\/div>\n<p><span style=\"font-weight: 400\">Cooling-off periods only apply to new franchise agreements. They do not apply to:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">renewals;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight:
