The person making the offer (the offeror) is bound by the terms once the offer is accepted.&nbsp;<\/p>\n\n\n\n<p>Key characteristics of an offer include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Intention to create legal relations:<\/strong> For an offer to be valid, it must reflect the offeror\u2019s intention to create a legally binding agreement. An offer made without any serious intent will not be legally binding.\u00a0<\/li>\n\n\n\n<li><strong>Clarity of Terms:<\/strong> The terms of the offer must be clear enough for the offeree (the person to whom the offer is made) to understand the nature of the agreement. If the terms are vague or ambiguous, no valid contract can arise. An uncertain <a href=\"https:\/\/legalvision.co.nz\/commercial-contracts\/enforceable-contract\/\">offer may not be enforceable<\/a> because it would be impossible to determine the precise obligations of the parties involved.\u00a0<\/li>\n\n\n\n<li><strong>Communication:<\/strong> The offer must be communicated to the offeree. Any modification or change in terms would be considered a counteroffer, not an acceptance.\u00a0<\/li>\n\n\n\n<li><strong>Communication:<\/strong> The acceptance must be communicated to the offeror in the manner prescribed in the offer. If the offer specifies a particular acceptance method, such as by phone or in writing, the offeree must comply with that requirement. Failure to follow the prescribed method may invalidate acceptance.
